Instructor(s)/Supervisor(s)/Coordinator(s): Ulysses CHOWThis course is designed for students who have no prior legal knowledge and aims to provide students with a foundational understanding of Hong Kong law from a corporate governance perspective. This course is divided into two parts: criminal law and civil law. The criminal law part of this course provides an introductory guide to (1) criminal liability of corporate officers, (2) misrepresentation offences (and its relevance to ‘greenwashing’) and (3) bribery offences. The civil law part of this course provides an introductory guide to (4) corporate personality, (5) fiduciary duties, (6) contract law fundamentals, and (7) employment law with particular emphasis on wrongful and unfair dismissals. Through case studies relevant to ESG contexts, students will develop the legal literacy necessary to understand the legal risks and implications of corporate governance.
